These Terms of Use (“Terms”) constitute a legally binding agreement between you (“Merchant”, “Developer”, or “User”) and Dollr Services Ltd (“Dollr”). By accessing or using our APIs, dashboard, or any other Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

You must be incorporated or operating in a jurisdiction where Dollr is licensed to operate. Use of the Services from unsupported jurisdictions is prohibited.

2. Account Registration

You must provide accurate, complete, and up-to-date information during registration.
You are responsible for maintaining the confidentiality of your API keys and dashboard credentials.
You must notify us immediately of any unauthorized access or suspected security breach.
One account per legal entity. You may not share credentials across organizations.

3. Permitted Use

You may use the Dollr Services to:

Accept payments from customers for lawful goods and services.
Send payouts to verified beneficiaries.
Build payment-enabled applications using our APIs.
Access transaction data and reporting through our dashboard.

4. Prohibited Activities

You may not use the Services to:

Process payments for illegal goods or services, including but not limited to: narcotics, weapons, counterfeit goods, or content that exploits minors.
Engage in money laundering, terrorist financing, or fraud.
Circumvent any AML/KYC verification requirements.
Conduct unauthorized penetration testing or attempt to compromise platform security.
Reverse engineer, decompile, or extract source code from our software.
Resell or sublicense access to the APIs without written permission.
Use the Services in a manner that imposes an unreasonable load on our infrastructure.
Use another merchant's account credentials or impersonate another entity.

5. API Usage

Access to Dollr APIs is subject to rate limits published in our documentation. Exceeding rate limits may result in temporary throttling or account suspension. We reserve the right to modify API endpoints, deprecate features, or introduce breaking changes with reasonable advance notice (minimum 60 days for breaking changes, unless required by security or regulatory necessity).

6. Fees and Payments

Our current fee schedule is available at heydollr.app/pricing. Fees are deducted from transaction proceeds or billed separately depending on your plan. We reserve the right to change our fee structure with 30 days' written notice. Continued use after the effective date constitutes acceptance of new fees.

7. Settlement

Settlement timelines depend on your account type, the payment method, and the destination country. Standard settlement is T+1 to T+3 business days. Dollr reserves the right to delay settlement if suspicious activity is detected or during regulatory review. Detailed settlement terms are outlined in your Merchant Service Agreement.

8. Intellectual Property

Dollr retains all rights, title, and interest in the Services, including our APIs, documentation, trademarks, and software. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted herein.

You retain ownership of your data. By using the Services, you grant Dollr a limited license to process your data solely to provide and improve the Services.

9. Liability and Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind. Dollr does not guarantee uninterrupted, error-free service. To the maximum extent permitted by law, Dollr's total liability for any claim arising from these Terms is limited to the fees paid by you in the three months preceding the claim.

Dollr is not liable for indirect, incidental, special, or consequential damages including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold Dollr harmless from any claims, losses, damages, and costs (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Suspension and Termination

Dollr may suspend or terminate your account immediately if you: violate these Terms; engage in prohibited activities; pose a fraud or compliance risk; or fail to provide required documentation. We will give reasonable notice where possible, except where immediate action is required for security or legal reasons.

You may terminate your account at any time by contacting [email protected]. Outstanding balances will be settled according to standard timelines.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through good-faith negotiation first. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Monrovia Court of Arbitration rules.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated with at least 30 days' notice. Your continued use constitutes acceptance.
